Senior Legal Counsel

About the role

The Senior Legal Counsel will lead legal work for Eagle Hills Georgia’s mixed‑use real estate projects. Reporting to the General Manager and Global Legal, the role provides strategic advice, drafts and negotiates complex agreements, and supports day‑to‑day operations.

Key responsibilities

• Provide proactive, strategic legal advice on major mixed‑use development transactions in Georgia.
• Draft, review and negotiate real‑estate development agreements, including SPAs, shareholders' agreements, development services agreements, facility management agreements, FIDIC construction and consultancy contracts, and other project‑related documents.
• Prepare executive summaries of key agreements and update them throughout negotiations.
• Offer day‑to‑day legal support across commercial, regulatory, corporate and financial matters.
• Liaise with government authorities, regulatory bodies, external counsel, consultants and business partners.
• Advise on land title, cadastral registration, usufruct, easements, planning, permitting, SEA/EIA processes and environmental approvals.
• Manage contractual notices, variations, extensions, claims, guarantees, bonds, terminations and settlements.
• Oversee litigation and dispute resolution from early stages, coordinating strategy, settlements and external counsel.
• Act as Board Secretary when required, preparing agendas, minutes and resolutions.
• Select, instruct and manage external counsel and specialist advisers within approved budgets.
• Monitor compliance with Group policies and escalate material legal or compliance issues.

Required profile

• Bachelor’s degree in law (LLB or equivalent) with qualification in Georgian law; LLM or relevant postgraduate qualification is a plus.
• Full professional fluency in Georgian and English.
• Minimum 8 years of relevant legal experience in a leading Georgian or international law firm, major real‑estate developer, construction/infrastructure company, or multinational organization.
• Proven experience in large‑scale mixed‑use real‑estate, construction or infrastructure developments in Georgia.
