About the role

Relativity is seeking a Counsel, Commercial Transactions to act as a legal advisor for its commercial contracting function and strategic initiatives. The role blends legal expertise with business collaboration, focusing on SaaS, software licensing, cloud services, AI‑enabled offerings, and data processing agreements.

Key responsibilities

• Lead customer, procurement, and strategic commercial negotiations, drafting and negotiating software, SaaS, cloud, and AI‑related agreements.
• Partner with Sales, Finance, Security, IT, Compliance, and other stakeholders to deliver timely legal solutions and clarify expectations.
• Provide trusted legal advice on commercial and operational issues, handling a high volume of contracts ranging from straightforward to complex.
• Identify legal risks early, propose solutions, and communicate effectively with internal teams and customers.
• Drive process improvements by creating or updating standard forms and contract templates.
• Utilize AI‑enabled legal technology tools to increase efficiency and support strategic pricing and governance projects.

Required profile

• Licensed attorney with substantial experience in commercial transactions, SaaS, software licensing, and cloud services agreements.
• Demonstrated ability to work cross‑functionally and manage complex, high‑volume contract negotiations.
• Strong analytical and problem‑solving skills, with a proactive approach to risk identification and mitigation.
• Comfortable using modern legal technology and adaptable to new tools.
